Corporate Law Clerk
The Opportunity
Houser Henry & Syron LLP is seeking an experienced Corporate Law Clerk to join our growing Corporate & Commercial practice.
This role is ideal for a Corporate Law Clerk who enjoys working directly with lawyers and clients on sophisticated corporate matters and who is looking for increased responsibility, variety, and long-term professional growth.
You will play an integral role in supporting corporate transactions, maintaining corporate records, and assisting clients through every stage of the corporate lifecycle. The successful candidate will become a trusted member of our team, working closely with lawyers and business clients in a collaborative and fast-paced environment.

Interesting Work
The successful candidate will work on a broad range of corporate and commercial matters supporting businesses at various stages of growth.
Examples of work may include:
- Incorporations, organizations, and business start-ups.
- Corporate reorganizations and estate freezes.
- Amalgamations, continuances, dissolutions, and corporate changes.
- Preparing and maintaining corporate minute books.
- Annual maintenance and regulatory filings.
- Corporate due diligence for mergers and acquisitions.
- Share and asset purchase transactions
- Supporting financing transactions and commercial arrangements.
- Preparing resolutions, registers, and corporate records.
- Assisting lawyers with transaction closings and post-closing matters.
This role offers exposure to a wide variety of corporate work while allowing you to develop deep expertise in corporate record management and transactional support.

For The ideal candidate is organized, proactive, and detail-oriented with strong technical corporate law experience and a commitment to exceptional client service.
You enjoy managing files independently, solving problems, and working collaboratively with lawyers and clients to achieve practical business outcomes.
Qualifications
- Law Clerk Diploma or equivalent experience.
- Minimum 3+ years of corporate law clerk experience in a law firm environment.
- Strong knowledge of corporate procedures under the OBCA and CBCA.
Experience with:
- Incorporations
- Corporate reorganizations
- Annual maintenance filings
- Share and asset purchase transactions
- Corporate record management
- Transactional support
- Excellent organizational and file management skills.
- Strong attention to detail and commitment to accuracy.
- Professional communication and client service abilities.
- Ability to prioritize multiple deadlines in a fast-paced environment.
- Proficiency with legal database systems and Microsoft Office.
