Job Summary

We are seeking a Junior Transaction Law Clerk for the Banking Department in our Toronto office to assist with transactions and other matters under the supervision of the firm’s lawyers and other law clerks. This may be one of the best opportunities in the profession to develop and grow within a large law firm as you will begin to learn how to project manage complex files requiring a high level of expertise in banking/financing law.  This position requires a confident self-starter who works well independently and is ready to show us what they can bring to the team and the Firm.

Hours of work are from 9 am to 5 pm. The successful candidate may be required to work outside of normal business hours in order to meet business and client needs.

Primary Responsibilities

  • Drafting under the supervision of lawyers and other law clerks, various finance and corporate documents including: guarantees, security agreements, closing agendas, officer’s certificates, resolutions, documents for various types of financing transactions

  • Assisting lawyers and other law clerks on complex transactions

  • Attending meetings with clients, lawyers and other law clerks to review documents and provide technical assistance

  • Conducting due diligence and preparing reports outlining issues and deficiencies

  • Assisting with closings

  • Assisting with collection and drafting of checklists and precedents.

Required Knowledge and Experience

  • College diploma in Law Clerk studies

  • Member in good standing with the Institute of Law Clerks of Ontario would be an asset

  • Proficient knowledge with computers

  • Strong organizational, communication and interpersonal skills. 


This role has a dual report to the Director, Paraprofessionals, Ontario and Banking Team Lead Law Clerk, Toronto.
